German STRABAG AG now belongs 100 % to the STRABAG SE group

  • Merger of STRABAG AG onto Ilbau with squeeze-out of the minority shareholders is complete
  • Delisting of STRABAG AG

The upstream merger squeeze-out of the minority shareholders of STRABAG AG that was approved by the Cologne Higher Regional Court on 14 December 2017 has been completed. As the company announced today, the relevant registry entries have been made. The minority shareholders will receive an adequate cash settlement. The STRABAG SE group now owns all shares of the delisted STRABAG AG.

STRABAG AG, Cologne, was merged with the German group holding company Ilbau Liegenschaftsverwaltung AG (Ilbau) based in Hoppegarten. At the time of the merger, Ilbau was renamed STRABAG AG so that the venerable STRABAG brand will be seamlessly continued. The organisational structure and business activity of STRABAG AG remain unchanged, all contact persons at the various offices will remain available with the previous contact information. As a next step, an application will be filed in the following days to move the official seat of STRABAG AG back to the company headquarters in Cologne. “The established STRABAG brand name will continue to stand for quality and innovation when it comes to maintaining and growing Germany’s infrastructure,” said the management board of STRABAG AG.
