NCC AB’s Annual General Meeting to be held on April 5

The Annual General Meeting of NCC AB shareholders will be held on April 5 at the Grand Hotel in Stockholm. Among other motions, NCC’s Board of Directors proposes that a dividend of SEK 5.50 per share plus an extraordinary dividend of SEK 10.00 per share be paid.

The Nomination Committee proposes the re-election of the seven current Members of the Board. These members are Antonia Ax:son Johnson, Tomas Billing, Alf Göransson, Ulf Holmlund, Fredrik Lundberg, Anders Rydin and Marcus Storch. It is proposed that Tomas Billing be elected Chairman of the Board.

Shareholders representing more than 50 percent of the total voting rights in the Company propose the re-election of the four current members of the Nomination Committee. These members are Viveca Ax:son Johnson, Johan Björkman, Ulf Lundahl and Mats Lagerqvist. It is proposed that Johan Björkman be chairman of the Committee.

The Board of Directors proposes that the Annual General Meeting approve a dividend of SEK 5.50 (4.50) per share for the 2005 fiscal year plus an extraordinary dividend of SEK 10.00 (10.00) per share. The Board proposes Monday, April 10, 2006 as the record date for dividends. If the Annual General Meeting approves the Board’s proposal, it is estimated that VPC AB will distribute dividend payments on Thursday, April 13.

It is proposed that director fees remain unchanged compared with 2005,which means that a total of SEK 2,200,000 will be paid, with the Chairman of the Board receiving SEK 500,000, the Deputy Chairman of the Board receiving SEK 400,000 and each other member who is not employed by the Company receiving SEK 325,000.

The Nomination Committee proposes that the assignment of the auditors and deputy auditors, all of whom are Authorized Public Accountants at KPMG Bohlins AB, be terminated prematurely. The motion is that the Annual General Meeting instead appoint registered firm of accountants KPMG Bohlins AB as auditor of the Company for the remaining term of authorization until the end of the Annual General Meeting to be held in 2008.

It is also proposed that the Board be authorized by the Annual General Meeting to repurchase the Company’s shares on one or more occasions up to the next Annual General Meeting.

The Board also proposes amendments to the Articles of Association, in part because of the introduction of the new Swedish Companies Act.

The Annual General Meeting will be held at the Grand Hotel, Vinterträdgården, Royals Entrance, Stallgatan in Stockholm. Registration for the meeting will begin at 3.30 p.m.
