Yesterday the share issue prior to the planned listing on First North was introduced

Yesterday, November 14, 2013, marks the beginning of the subscription period for BIMobject AB's share issue prior to its planned listing on NASDAQ OMX First North. The subscription period runs up to and including December 4, 2013. If fully-subscribed, the share issue will represent an initial contribution to BIMobject of about SEK 20.3 million before issue costs. If the issue is fully subscribed to and all the subscription options are utilised at their maximum strike price, BIMobject will benefit from a further maximum contribution of approximately SEK 56.7 million before issue costs. The share issue is being conducted in order to finance the company's planned expansion and in order to comply with First North's listing requirements. The lowest level for implementation is approximately SEK 14 million. BIMobject has obtained written subscription commitments equivalent to approximately SEK 14.2 million. Subscription commitments have not however been secured via advance transaction, bank guarantee or such like.

Summary of the offer

Subscription period: November 14 – December 4, 2013.

Subscription volume: The minimum subscription volume is 1,000 units. Each unit consists of one new share and two series TO 1 share warrants.

Issue price: SEK 7.50 per unit, i.e. SEK 7.50 per share and the share warrants are issued free of charge. No brokerage is payable.

Issue volume: The offer comprises no more than 2,700,000 shares and no more than 5,400,000 series TO 1 share warrants. If fully-subscribed, the issue will initially contribute approximately SEK 20.3 million to the company. If the issue is fully subscribed to and all attached share warrants are utilised at the maximum strike price, the company will benefit from a further maximum contribution of SEK 56.7 million. Maximum total approximately SEK 77 million before issue costs.

Number of shares before the issue: 11,863,280 shares.

Valuation: Approximately SEK 89 million (pre-money).

Marketplace: It is planned that shares and share warrants will be listed on First North. The review process at NASDAQ OMX has been started and it is estimated that the first day of trading will be January 13, 2014.

Summary of conditions attached to share warrants
The holder of any share warrants is entitled, for each share warrant, to subscribe to one new share in the company at a price of SEK 7.70 - 10.50 per share. Within this interval the issue price will increase to 70 percent of the average volume-weighted price of the share according to First North's official price statistics during the period of 20 trading days ending two banking days before the start of the utilisation period. The company will publish the issue price on the day before the first day of the utilisation period. Subscription to shares using share warrants can take place during the period March 25 – April 15, 2015. It is thought that the last day for trading in share warrants will be April 10, 2015.
