Delphi advised Image Systems AB (pub) on its issue of a fully underwritten rights issue and on its acquisition of RemaControl Sweden Aktiebolag and Sawco Holding AB
Delphi advised Image Systems AB (publ), which is listed on NASDAQ OMX Stockholm, on its recent rights issue and on its acquisition of RemaControl Sweden Aktiebolag and Sawco Holding AB. The two acquisitions were financed partly by two issues in kind.
Image Systems specialised in high-definition image production, film scanning and solutions for motion analysis with offices in various places in Sweden as well as in Los Angeles and London.
RemaControl develops and supplies equipment which measures, steers and reports every process step in a saw mill.
Sawco delivers unique measuring systems for three-dimensional measurement of timber, 3D-saw optimization and dimensional control of finished products and for sorting and packaging of end products. Today, Sawco delivers to saw mills worldwide.
Marcus Nivinger was Delphi’s, lead partner assisted mainly by Fredrik Mörner and Olof Reinholdsson. In addition, a number of lawyers from the Stockholm and Linköping offices assisted in the due diligence process. Stefan Lindh was the lead partner at the Linköping office.
