Annual General Meeting of Burckhardt Compression Holding AG approves all proposals of the Board of Directors
Ad hoc Announcement pursuant to Art. 53 LR of July 5, 2025
333 shareholders attended Burckhardt Compression Holding AG's Annual General Meeting at the Parkarena in Winterthur on July 5, 2025. Shareholders approved all proposals submitted by the Board of Directors. A dividend of CHF 18.00 per share will be distributed.
After a welcome address by Ton Büchner, Chair of the Board of Directors, and a review of the 2024 fiscal year from CEO Fabrice Billard and CFO Rolf Brändli, shareholders approved all proposals of the Board of Directors. Jacques Sanche was elected as a new independent member of the Board of Directors as per the Annual General Meeting and will succeed Ton Büchner as Chair of the Board as of December 15, 2025. The Annual General Meeting approved a dividend of CHF 18.00 (gross) per share, an increase of 16.1% compared to the previous year.
A total of 1'918'033 registered shares were represented at the Annual General Meeting, representing 81.53% of the total registered share capital with voting rights, as recorded in the company's share register.
The composition of the committees of the Board of Directors is as follows:
Audit Committee: David Dean (Chair), Maria Teresa Vacalli, Kaspar W. Kelterborn.
Strategy and Sustainability Committee: Ton Büchner (Chair), Jacques Sanche, Kaspar W. Kelterborn.
Nomination and Compensation Committee: Maria Teresa Vacalli (Chair), Stephan Bross, Tatiana Gillitzer.
Vice Chair: Kaspar W. Kelterborn.
