AB Bonnier Fastigheter Finans (publ) contemplates issuance of new green senior unsecured notes, announces a conditional voluntary tender offer for senior unsecured 2021/2026 notes
AB Bonnier Fastigheter Finans (publ) (”Bonnier Fastigheter”) has mandated Nordea Bank Abp (“Nordea”) and Skandinaviska Enskilda Banken AB (publ) (“SEB”) as arrangers and joint bookrunners to explore the possibility of issuing SEK-denominated green senior unsecured notes with an expected volume of up to SEK 1,000,000,000 and expected tenors of up to 5-year under the existing MTN programme (the “New Green Notes”). Subject to prevailing market conditions, a capital markets transaction may follow.
In connection with the potential issue of the New Green Notes, Bonnier Fastigheter has announced an invitation to holders of its outstanding SEK 1,000,000,000 senior unsecured green notes 2021/2026 due in May 2026 with ISIN SE0014855839 (the “Existing Notes”), to tender their Existing Notes for purchase by Bonnier Fastigheter for cash at a price of 100 per cent of the nominal amount plus accrued and unpaid interest (the “Tender Offer”). The Existing Notes will be repurchased subject to the terms and conditions described in the tender information document dated 12 November 2025 (the “Tender Information Document”).
The Tender Offer expires the latest of 12:00 CET on (i) 18 November 2025 and (ii) the date upon book close of the book building process for the New Green Notes which will be announced by Bonnier Fastigheter in connection therewith (unless such date is extended, shortened, re-opened, withdrawn or terminated at the sole discretion of the Issuer). Settlement of the Tender Offer is expected to occur approximately ten business days after the Expiration Date. The Tender Offer is conditional upon, inter alia, the completion of the issuance of the New Green Notes (including successful settlement of the New Green Notes), as further described in the Tender Information Document. Bonnier Fastigheter will, in connection with the allocation of the New Green Notes, consider, among other factors, whether or not the relevant investor seeking an allocation of the New Green Notes has, prior to such allocation, validly tendered Existing Notes pursuant to the Tender Offer, subject to the terms in the Tender Information Document.

Subject to a successful issuance of the New Green Notes, Bonnier further announces that it intends to exercise its right to make a voluntary early redemption of the outstanding Existing Bonds which are not repurchased through the Tender Offer no later than 18 November 2025 (the “Early Redemption”). In the event of such Early Redemption, the Existing Bonds will be redeemed at a call option price of 100 per cent. of the nominal amount plus accrued and unpaid interest.
Bonnier Fastigheter has mandated Nordea and SEB to act as joint bookrunners in connection with the issue of the New Green Notes and the Tender Offer and MSA acts as legal counsel in the transactions.
