Relative to the business structure pursued, the business documents needed to register a company in Singapore varies.

Before the formal incorporation commences however, a business name must be submitted for evaluation and approval.

“A name is strictly unique. Which means that no other registered or reserved business enterprise should bear resemblance to a business name to the extent of being mistaken for another. A name is also expected to be decent, without obscenity and infringements on morals and trademarks,” says a business consultant of Rikvin.

ACRA is where the name for a business is proposed for approval. It created BizFile, an online portal where information can be retrieved and lodged using a log in pass from a Singapore Personal Access or National Registered Identity Card.

Rikvin provides a free business name check service. It devoted a page from its website for an online application, which must be filled with two proposed business names and a contact number, preferably, an e-mail.

“After a few hours from its submission, we inform the client of the result of the inquiry, and a list of services that the client may find convenient from thence forward,” explains Rikvin.

The approval of a business name will also take a few hours. Upon availability, the client may reserve the name for two months or proceed with registration. By submitting a formal request, ACRA shall extend the reservation period.

Meanwhile, should the client aspire to proceed with the registration, Rikvin utters that “ACRA will issue via an e-mail the Certificate of Company Name or Certificate of Business Name.”

This certificate is included among the documents significant in the incorporation of the company.

Another document to prepare is the Memorandum and Articles of Association. As an instrument, it contains information such as the local physical address, paid up capital, the principal commercial activities that the company shall undertake, the policies and by-laws, the names and address of directors including the resident, and the shareholders together with their shares, and company secretary.

Rikvin continues: “A successful incorporation of a company shall be issued with Company Business Profile via an e-mail which can be printed or downloaded as PDF file.”

To complete the registration of company, there shall be a company seal and rubber stamp of the company.
